These Terms of Service ("Terms") govern your access to and use of latenightlips.com and related services operated by LATENIGHT LIPS COSMETICS & PRODUCTS CORP., operating as Late Night Lips ("Late Night Lips," "we," "us," or "our"). By visiting the Site, creating an account, or placing an order, you agree to these Terms and the policies incorporated by reference.

1. Eligibility and account responsibility

You must be at least the age of majority where you live, or use the Services with the involvement and permission of a parent or legal guardian. You are responsible for information submitted through your account and for maintaining the confidentiality of account credentials.

2. Store information and changes

We try to keep product descriptions, images, pricing, availability, and other information accurate. Colours and appearance may vary by screen, lighting, batch, and individual use. We may correct errors, update information, change or discontinue products, limit quantities, or cancel an order affected by an error. If we cancel a paid order, we will refund the affected amount.

3. Products and cosmetic use

Late Night Lips products are cosmetics, not medical treatments. Product information is general and is not medical advice. Review the ingredient list before use, particularly if you have allergies or sensitivities. Stop use and seek appropriate professional advice if irritation or another adverse reaction occurs. Do not use a product contrary to its label or intended purpose.

4. Prices, taxes, and payment

Prices are shown in Canadian dollars unless checkout says otherwise. Applicable taxes, shipping, discounts, and the final total are shown at checkout. We may change prices before an order is placed. Payment is processed by third-party providers, and you agree to provide current, complete, and accurate billing information.

5. Orders

An order submission is an offer to purchase. We may accept, reject, limit, or cancel an order for reasons including product availability, suspected fraud, pricing or listing errors, payment issues, resale activity, or legal restrictions. An order confirmation acknowledges receipt and does not always mean final acceptance. We may contact you to verify information.

Products are for personal use unless we agree otherwise in writing. You may not use the Services to purchase for unauthorized resale, diversion, or unlawful activity.

6. Shipping and delivery

Shipping destinations, processing estimates, transit estimates, charges, tracking, and address responsibilities are described in our Shipping Policy. Delivery estimates are not guarantees, but nothing in these Terms limits rights that cannot be waived under applicable law.

7. Returns and refunds

Returns, our “30-night” satisfaction promise (meaning 30 calendar days beginning on confirmed delivery), damaged or incorrect items, exclusions, shipping responsibility, and refund timing are governed by our Refund Policy.

8. Marketing communications

If you opt into marketing, we may send email or SMS messages in accordance with your consent and applicable law. Consent to marketing is not a condition of purchase. 9. Privacy

Our collection, use, and disclosure of personal information is described in our Privacy Policy. Shopify and other service providers may process information under their own terms and privacy notices.

10. Intellectual property

The Site and its content—including branding, names, logos, designs, photographs, graphics, video, text, product presentation, and software—are owned by or licensed to Late Night Lips and are protected by applicable intellectual-property laws. We grant you a limited, revocable, non-transferable right to use the Site for personal, non-commercial shopping and information purposes. No other licence is granted.

11. Reviews, submissions, and feedback

If you submit a review, photo, comment, idea, or other content, you represent that you have the right to submit it and that it is accurate, lawful, and does not violate another person's rights. You grant us a non-exclusive, worldwide, royalty-free licence to host, reproduce, adapt, publish, and display that content for operating and promoting the Services, subject to applicable privacy law. We may remove content that violates these Terms.

12. Prohibited uses

You may not use the Services to violate law or another person's rights; submit false or misleading information; distribute malware; scrape or interfere with the Site; bypass security or purchase controls; commit fraud; harass others; collect personal information unlawfully; or use our content or products for unauthorized commercial resale or exploitation.

13. Third-party services and links

The Services may use or link to third-party tools, websites, payment services, shipping providers, or platforms. We do not control every third-party service and are not responsible for its independent terms, privacy, content, availability, or conduct. Your use of a third-party service may be governed by separate terms.

14. Service availability and disclaimers

We aim to keep the Services accurate and available, but they may be interrupted, delayed, or contain errors. To the fullest extent permitted by law, the Services are provided on an "as available" basis. We do not exclude warranties, conditions, guarantees, or remedies that cannot legally be excluded.

15. Limitation of liability

To the fullest extent permitted by law, Late Night Lips and its directors, officers, employees, agents, affiliates, and service providers will not be liable for indirect, incidental, special, punitive, or consequential loss arising from use of the Services. Where liability cannot be excluded, it will be limited only to the extent permitted by law. Nothing in these Terms limits liability for fraud, wilful misconduct, personal injury caused by negligence, or any other liability that cannot legally be limited.

16. Indemnity

To the extent permitted by law, you agree to indemnify Late Night Lips against third-party claims, losses, and reasonable costs arising from your unlawful use of the Services, violation of these Terms, or infringement of another person's rights.

17. Severability and no waiver

If a provision is found unenforceable, it will be limited or removed only to the minimum extent required, and the remaining provisions will continue. A failure to enforce a provision is not a waiver.

18. Changes to these Terms

We may update these Terms by posting a revised version and changing the "Last updated" date. Changes apply prospectively unless law requires otherwise. Your continued use after an update means you accept the revised Terms.

19. Governing law

These Terms are governed by the laws of the Province of Alberta and the applicable federal laws of Canada, without regard to conflict-of-law principles. This clause does not deprive you of mandatory consumer rights or legal protections that apply where you live.
